These Terms & Conditions ("Terms") govern the professional relationship between Kim Bey & Associates ("Kim Bey & Associates," "we," "our," or "us"), a tax strategy and business advisory firm headquartered in Washington, D.C., and any individual or business entity ("Client," "you," or "your") engaging our services.
By engaging our services, executing an engagement letter, purchasing advisory services, scheduling consultations, or using our website, you acknowledge that you have read, understood, and agree to these Terms.

PROFESSIONAL SERVICES
Kim Bey & Associates provides strategic tax planning, business advisory, entity structuring, wealth preservation consulting, financial education, and related professional consulting services.
The scope of every engagement is defined exclusively by the signed engagement letter, proposal, or service agreement between Kim Bey & Associates and the Client.
No services outside the agreed scope are included unless confirmed in writing.
PROFESSIONAL DISCLAIMER
Our role is to provide strategic tax planning and advisory services designed to help clients make informed financial decisions.
Nothing contained on our website, within educational materials, webinars, newsletters, or consultations constitutes legal advice, investment advice, or a guarantee of any tax
outcome.
Tax laws, regulations, IRS guidance, and individual financial circumstances continually evolve. Any recommendations provided are based upon the information supplied by the Client and current law at the time services are rendered.
Kim Bey & Associates makes no guarantee regarding:
• Tax savings
• Refund amounts
• Audit outcomes
• IRS acceptance
• Future legislation
• Financial performance
• Investment returns
Implementation decisions remain solely the responsibility of the Client.
CLIENT RESPONSIBILITIES
To provide accurate advice, the Client agrees to:
• Provide complete and accurate information.
• Disclose all relevant financial information.
• Respond to reasonable requests in a timely manner.
• Review all reports and recommendations carefully.
• Notify us promptly if information previously supplied becomes inaccurate or incomplete.
Advice based upon inaccurate or incomplete information may materially affect recommendations.
Kim Bey & Associates shall not be responsible for outcomes resulting from omitted, inaccurate, or misleading information supplied by the Client.
ENGAGEMENTS
Every engagement is unique.
Services may include:
• Tax Strategy
• Business Tax Planning
• Entity Structuring
• Wealth Preservation Strategies
• Exit Planning
• Business Advisory
• Family Office Advisory
• Executive Tax Planning
• Estate Coordination
• Succession Planning
• Educational Programs
• Strategic Consulting
Only those services specifically outlined within the signed engagement agreement are included.
FEES & PAYMENT
Fees are established within each Client's engagement letter or proposal.
Unless otherwise specified:
• Invoices are payable within fifteen (15) calendar days.
• Late balances may incur reasonable finance charges permitted under applicable law.
• Outstanding balances may result in suspension of services until the account is brought current.
Payments may be accepted electronically through approved payment processors.
The Client is responsible for all applicable taxes, banking fees, processing charges, and third-party expenses associated with the engagement unless otherwise agreed in writing.
RETAINERS
Certain advisory relationships require an advance retainer.
Retainers are applied toward services rendered in accordance with the applicable engagement agreement.
Unused retainers, if refundable, shall be governed solely by the written engagement agreement.
ADDITIONAL SERVICES
Services requested outside the original engagement scope constitute additional work.
Examples include:
• Additional meetings
• Expanded tax research
• IRS correspondence outside the engagement
• Additional entities
• Additional planning scenarios
• Financial modeling
• New strategic analyses
Additional work will be billed at our then-current rates unless otherwise agreed in writing.
CLIENT DELAYS
Timely completion of engagements depends upon prompt Client cooperation.
If requested documentation, approvals, or responses are delayed, project timelines may extend accordingly.
Client-caused delays do not constitute a breach of these Terms and do not alter payment obligations.
CONFIDENTIALITY
Protecting confidential financial information is fundamental to our practice.
Except where required by law, Kim Bey & Associates will not disclose confidential Client information without authorization.
This obligation survives termination of the engagement.
CLIENT RECORDS
Clients remain solely responsible for maintaining copies of:
• Tax returns
• Financial statements
• Supporting documentation
• Business records
• Planning reports
• Legal documents
Although Kim Bey & Associates maintains records in accordance with internal retention policies, Clients should not rely upon us as their permanent document repository.
INTELLECTUAL PROPERTY
All materials developed by Kim Bey & Associates remain our intellectual property, including but not limited to:
• Tax methodologies
• Planning frameworks
• Worksheets
• Educational materials
• Presentations
• Reports
• Templates
• Proprietary processes
• Written recommendations
Clients receive a limited, non-transferable license to use materials solely for their own internal purposes.
Materials may not be copied, reproduced, distributed, sold, published, or incorporated into another business without prior written permission.
THIRD-PARTY PROFESSIONALS
Recommendations may occasionally require coordination with attorneys, CPAs, investment advisors, insurance professionals, valuation experts, or other outside professionals.
Kim Bey & Associates does not control the work performed by third parties and assumes no responsibility for their advice, services, or outcomes.
CLIENT DECISIONS
All implementation decisions remain solely with the Client.
Our role is advisory.
The Client is responsible for deciding whether to implement recommendations.
LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Kim Bey & Associates shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of our services.
Our aggregate liability for any claim shall not exceed the total professional fees actually paid to Kim Bey & Associates for the specific engagement giving rise to the claim.
NO GUARANTEE
Every tax situation is unique.
Past results do not guarantee future outcomes.
We cannot guarantee:
• IRS acceptance
• Legislative stability
• Tax savings
• Future financial performance
• Regulatory interpretations
Professional judgment necessarily involves uncertainty.
CANCELLATION
Either party may terminate an engagement by written notice.
The Client remains responsible for payment of all work performed through the effective date of termination.
Any prepaid fees shall be handled according to the applicable engagement agreement.
REFUNDS
Unless specifically stated within a written engagement agreement, professional consulting services are non-refundable once work has commenced.
Because our services involve professional time, strategic analysis, research, and customized recommendations, refunds are generally unavailable after services begin.
MEETINGS
Scheduled meetings may be conducted virtually or in person.
Clients are expected to arrive on time.
Late arrivals may reduce the available meeting time.
Meetings may be rescheduled with reasonable advance notice.
ELECTRONIC COMMUNICATIONS
By engaging our services, the Client consents to electronic communications, including email and secure document sharing.
While we use commercially reasonable safeguards, no electronic transmission is completely secure.
WEBSITE CONTENT
All information available on our website is provided solely for educational and informational purposes.
Website content should not be interpreted as individualized tax advice.
No professional relationship is created solely by visiting our website or downloading educational resources.
CHANGES TO SERVICES
Kim Bey & Associates reserves the right to improve, modify, suspend, or discontinue any service offering at any time.
Such changes shall not affect existing written engagement agreements unless mutually agreed.
DISPUTE RESOLUTION
The parties agree to make good-faith efforts to resolve disputes informally before pursuing legal remedies.
If a dispute cannot be resolved, the parties agree to submit the matter to binding arbitration in accordance with the rules of the American Arbitration Association unless otherwise prohibited by law.
Unless otherwise agreed, arbitration shall occur in Washington, D.C.
Each party shall bear its own attorneys' fees unless otherwise awarded by the arbitrator or required by law.
GOVERNING LAW
These Terms shall be governed by and construed under the laws applicable within the District of Columbia, without regard to conflict-of-law principles.
SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
ENTIRE AGREEMENT
These Terms, together with any signed engagement letter or service agreement, constitute the complete agreement between the parties regarding the services provided.
No oral statements shall modify these Terms.
CHANGES TO THESE TERMS
Kim Bey & Associates reserves the right to modify these Terms periodically.
The most current version will always be posted on our website with an updated effective date.
Continued use of our website or services constitutes acceptance of any revised Terms.
